Course Goal / Objective
This course aims to examine in detail the concept of shareholding in limited companies, the rights and obligations of shareholders, the legal relations arising from shareholding and current legal issues. It is aimed to provide students with the ability to analyze national and international legal regulations regarding shareholding, shareholder protection mechanisms, minority rights, corporate governance principles and the relationship between shareholders and company management. In addition, evaluating current legal issues arising from shareholding and developing solutions for these issues are among the main objectives of the course. While this course provides a theoretical background for lawyers aiming to pursue an academic career, it is also a guide containing practical information for lawyers, corporate consultants and legal professionals working in the field of corporate law.
Course Content
Capital structure and legal nature of partnership shares in limited companies, Financial (profit share, liquidation share) and administrative rights of partners (right to participate in the general assembly, vote, right to receive information), Legal procedure and formal form requirements for share transfer, Partners' withdrawal and expulsion from the company, Court decisions and current developments regarding share ownership.
