Course Goal / Objective
This course aims to examine the management structure and decision-making processes of joint-stock companies in detail within the legal framework. It is aimed to provide students with theoretical and practical knowledge of corporate law, especially by addressing the formation, implementation and legal consequences of general assembly and board of directors decisions. In addition, it is aimed to provide students with the ability to analyze and solve legal problems by focusing on issues such as annulment, nullity of decisions, legal responsibilities and judicial process.

1. Functioning of the General Assembly in Joint-Stock Companies, 2. Legal Nature and Validity of General Assembly Decisions, 3. Structure and Functioning of the Board of Directors in Joint-Stock Companies, 4. Validity of Board of Directors Decisions, Legal Liability in General Assembly and Board of Directors Decisions, 6. Principles and Practices of Corporate Governance in Joint-Stock Companies, 7. Current Developments and Practices.
